Terms of Service - YTSync

These Terms of Service ("Terms") govern your access to and use of YTSync ("Service"), operated by YTSync ("we," "our," or "us"). By using our Service, you agree to be bound by these Terms.

1. Service Description

YTSync is a software-as-a-service platform that processes YouTube channels to generate transcripts, AI-powered summaries, speaker identification, chapter extraction, and exportable content. The Service is designed for YouTube content creators who wish to create searchable knowledge bases from their video content.

2. Eligibility

You must be at least 13 years old to use this Service. If you are between 13 and 18 years old, you must have parental or guardian consent. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration

You must provide a valid email address to use the Service.
You are responsible for maintaining the confidentiality of any login credentials.
You are responsible for all activities that occur under your account.
You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree NOT to use the Service to:

Process content you do not own or have rights to process.
Process content that violates YouTube's Terms of Service.
Violate any applicable laws or regulations.
Infringe on intellectual property rights of others.
Distribute malware or engage in harmful activities.
Attempt to gain unauthorized access to our systems.
Resell or redistribute the Service without authorization.
Use the Service for any illegal or unauthorized purpose.

5. Content Ownership

5.1 Your Content

You retain all ownership rights to your original YouTube content. The transcripts, summaries, and other outputs generated by the Service from your content belong to you. We do not claim any ownership rights over your content or the generated outputs.

5.2 License to Process

By using the Service, you grant us a limited, non-exclusive license to access, process, and analyze your YouTube content solely for the purpose of providing the Service. This license terminates when you delete your data or your account is terminated.

5.3 Our Content

The Service, including its software, design, features, and documentation, is owned by YTSync and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Service.

6. Payment Terms

6.1 Pricing

Pricing for the Service is displayed on our website. We reserve the right to change pricing at any time, but changes will not affect existing paid orders.

6.2 One-Time Payments

YTSync operates on a one-time payment model. When you purchase a plan, you pay a single fee for processing a specified number of video minutes. There are no recurring charges.

6.3 Refund Policy

Before Processing: Full refund available if processing has not started.
After Processing Starts: No refunds once processing has begun, as computational resources have been consumed.
Service Issues: If the Service fails to deliver due to our technical error, we will either reprocess your content or provide a full refund at our discretion.

6.4 Free Tier

The free tier allows processing of one video at no cost. Free tier data is retained for 7 days, after which it is automatically deleted. No payment information is required for the free tier.

7. Third-Party Services

The Service integrates with third-party services including YouTube, Stripe, and various AI providers. By using our Service, you agree to comply with the terms of service of these third parties, including:

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Implied warranties of merchantability and fitness for a particular purpose.
Accuracy or completeness of transcripts or AI-generated content.
Uninterrupted or error-free operation.
Security of data transmission over the internet.

AI-generated content (summaries, speaker identification, tags) is provided for convenience and may contain errors. You are responsible for reviewing and verifying any AI-generated content before use.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YTSYNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless YTSync and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

You may stop using the Service at any time.
We may suspend or terminate your access for violation of these Terms.
We may terminate accounts that remain inactive for extended periods.
Upon termination, your right to use the Service ceases immediately.
Sections that by their nature should survive termination will survive (including Disclaimers, Limitation of Liability, and Indemnification).

13. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
